As part of their activities, our Lawyers will assist in:

• the successful listing of a company on the stock exchange market (WSE and NEW CONNECT), including company re-organisation, adaptation of the company’s articles of association to the market requirements, preparation of offer documentation (prospectus, information memorandum) and representation in the proceedings before the Financial Supervision Authority related to the approval of the documentation,
• the development and implementation of incentive programmes for the managerial staff,
• the full scope of legal advice on merger and acquisition (M &A) transactions involving a public company, in particular the development of the structure of the transaction, taking into account capital market regulations (disclosure of qualifying holdings, obligations to make calls, restrictions regarding the possession of confidential information and other issues),
• the performance of due diligence of a public company, preparation and negotiations of the transaction documentation, advice on performance of disclosure obligations related to a M&A transaction,
• advice on the performance of disclosure obligations by public companies, in particular, on the identification and publication of confidential information in accordance with the Market Abuse Regulations,
• the preparation of the documentation related to offerings  of share issuance, bonds and securities convertible into shares, and their dematerialisation.
